2. You are of sound mind, at least 18 years of legal age, and otherwise competent to form a binding contract with us. Our App/website is not available for users below the age of 18.
3. We must not have previously disabled your account for violation of law or any of our policies.
4. You have read, understood, and consented to our Disclaimer, Cancellation & Refund Policy, as well as our Privacy Policy statement.

7. Downloadable Resources: Downloading available resources for personal use, such as guides, templates, or whitepapers, adhering to copyright laws and not distributing them commercially.
8. Payment Transactions: Making online payments for services availed from ACC CY through the secure payment mechanisms provided on the platforms.
9. Sharing of Content: Sharing content from the platforms on social media or with colleagues and peers, provided it is done ethically and not altered in any form that misrepresents the content or ACC CY.
10. Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the platform.
11. Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.
12. Material: For the purposes of these Terms, “material” shall mean any text, video, graphics, content, news, software, platform, sound material, published on the website or App, whether a copyright of ACC CY, its licensors or any third party. (Unless stated otherwise) You are not allowed to download or print the material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the material appearing on the website/App. Unless stated otherwise, you must not reproduce any part of the website/App or the material or transmit it to or store it in any other website/App or disseminate any part of the material in any other form, unless we have indicated that you may do so. However, you are allowed to use the content so generated by you using our platform in such form and manner as allowed in these Terms.

Restricted uses:

1. You can’t impersonate others or provide inaccurate information.
2. Any use of ACC CY that violates applicable laws or regulations is prohibited.
3. Unauthorized access to ACC CY's systems, accounts, or data is prohibited. You are not allowed to engage in any activities that attempt to breach ACC CY's security measures or compromise the privacy of its users.
4. You cannot breach or circumvent or attempt to break or circumvent our authentication and security processes and measures of our systems or networks.
5. You cannot reverse engineer or try to reverse engineer any of the proprietary/intellectual property aspects of, including but not limited to the services, software, our platforms, networks, systems, etc., wholly or in part.
6. You must not misuse or interfere with the Services or website/App or try to access them using a method other than the interface and the instructions that we provide. You may use the Services only as permitted by law and as per the directions provided by us.
7. You must not republish material from this website/App.
8. You must not use our website/App in any way that causes, or may cause, damage to the website/App or impairment of the availability or accessibility of the website/App; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
9. You cannot access, use, or tamper with the non-public areas of any of our software, platforms, networks, or our systems.
10. You must not use our website/App to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit, or other malicious computer software.
11. You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website/App, without our express written consent.

a) Ownership: A & C Christofi Ltd ("ACC CY") is committed to respecting the intellectual property rights of others and expects its users to do the same. The content, features, and functionality of our platforms, including but not limited to, all information, software, text, calculators, displays, images, video, audio, design, photographs, illustrations, and graphics on the website and app, as well as the design, selection, and arrangement thereof, are owned by ACC CY, its licensors, or other providers of such material and are protected by copyright, trademark, patent, international treaties, and other intellectual property laws.

b) Usage Rights: ACC CY grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platforms and its content for your personal, non-commercial purposes, subject to your compliance with these Terms and Conditions. This license does not include any rights to:

1. Sell, rent, or sub-license material from the platforms.
2. Reproduce, duplicate, copy, or exploit material on our platforms for a commercial purpose.
3. Redistribute content from ACC CY (except for content specifically made available for redistribution).

c) Copyright and Trademarks: The trademarks, logos, service marks, and trade names displayed on the platforms are registered and unregistered Trademarks of ACC CY and others. Nothing contained on the platforms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the platforms without the written permission of ACC CY or such third party that may own the Trademarks displayed on the platforms.

d) User Feedback: Any feedback you provide to the Company will be considered non-confidential and non-proprietary. By providing any feedback, you grant ACC CY and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

e) Protection of Intellectual Property: ACC CY respects the intellectual property rights of others and asks users of our platforms to do the same. ACC CY may, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who may be repeat infringers of intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please follow the instructions provided in the Intellectual Property Claims Notice posted on our website.

a) General Limitation: To the fullest extent permitted by applicable law, ACC CY, including its directors, employees, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the platforms; (ii) any conduct or content of any third party on the platforms; (iii) any content obtained from the platforms; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not ACC CY has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

e) Applicable Law Exceptions: Certain jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you if you are located in such jurisdictions. In such cases, ACC CY's liability will be limited to the greatest extent permitted by law.

If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of ACC CY by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.

You acknowledge to defend, indemnify, and hold ACC CY, its affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable legal counsel’s fee, made by a third party, relating to, or arising from:

• Your violation of ours or any third-party right;
• Your wrongful or improper use of our services, or platform;
• Your violation of any applicable laws, rules, or regulations;
• Your violation of these Terms or any other policy of ours as associated with our services;
• The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services

i. Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of the Republic of Cyprus, except for its conflict of law provisions.

ii. Exclusive Jurisdiction: All disputes must first be attempted to be resolved amicably, failing which, such controversy, conflict or dispute shall be finally settled by bringing it exclusively before the appropriate courts or tribunals located in Limassol, Cyprus.

iii. Statutory Rights: This Section shall in no way override the rights available to you under the applicable laws of your jurisdiction.

When you use the website/App or send emails to ACC CY, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this website/App. ACC CY will communicate with you by email or by posting notices on this website/App. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. ACC CY reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

ii. Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.

iii. Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our platform or our Services, at our sole discretion.

iv. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.

v. Waiver: Our failure to insist on or enforce strict performance of these Terms & Conditions shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.

vi. Survival: Notwithstanding any other provisions of these Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms & Conditions, for any reason whatsoever.

vii. No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms & Conditions, there shall be no third-party beneficiaries to these Terms & Conditions.

viii. No Assignment: You may not assign these Terms & Conditions (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of ACC CY, which may be withheld at ACC CY’s sole discretion. Any attempted assignment that does not comply with these Terms & Conditions shall be null and void.

ix. Entire Agreement: The Terms, Disclaimer, Cancellation & Refund Policy, and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between ACC CY and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.

x. Force Majeure: ACC CY and its third-party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, technical issues, bugs, errors, power failures and/or similar inabilities.

xi. Updates to these Terms: We may add to or change or update these Terms at any time, from time to time, entirely at our own discretion, with or without any prior written notice. You are responsible for checking these Terms periodically. Your use of the platform or our Services after any amendments to the Terms shall constitute your acceptance to such amendments.
